1. Purpose of This Policy
This Virtual Card Service Policy explains the principal rules and conditions applicable to the use of virtual card services provided through AyiFlow.
It should be read together with the AyiFlow Terms of Service and Privacy Policy. By requesting, activating, funding, or using an AyiFlow virtual card, the User agrees to comply with this Policy and all applicable requirements communicated by AyiFlow and its authorized service providers.
Virtual card services may be subject to additional rules, restrictions, verification requirements, and operating procedures imposed by third-party card issuers, processors, payment networks, financial institutions, or other service providers involved in providing the service.
2. Eligibility and Identity Verification
Access to virtual card services is subject to account eligibility and successful identity verification where required.
AyiFlow may require Users to provide accurate and current information and supporting documents for identity verification, security, fraud prevention, regulatory compliance, or other legitimate service requirements.
AyiFlow may decline, delay, restrict, or suspend access to virtual card services where required information has not been provided or cannot be satisfactorily verified.
Users must not create or use an account or virtual card using false, misleading, stolen, or unauthorized identity information.
3. Virtual Card Creation
Once an eligible User has completed the applicable registration and verification requirements, the User may be permitted to request a virtual card through the AyiFlow platform.
Virtual card creation is subject to:
account eligibility;
successful identity or compliance verification where applicable;
availability of the virtual card service;
applicable fees;
available funding or balance requirements;
card-provider and processing requirements; and
any other conditions communicated before the card is created.
A request for a virtual card does not necessarily guarantee immediate issuance. AyiFlow or its authorized service providers may review, approve, delay, reject, or restrict a request where necessary.
4. Card Fees and Funding
Applicable card creation fees, service fees, funding requirements, or other charges will be presented to the User where applicable before the relevant transaction is completed.
Users are responsible for maintaining sufficient available funds to cover applicable fees and card transactions.
Funding availability may depend on the payment method, processing provider, transaction status, compliance checks, and other applicable conditions.
AyiFlow may support one or more funding methods through its payment and financial service providers. Available methods may change over time and may not be available to every User, jurisdiction, transaction, or account.
5. Card Balance and Spending
The available balance associated with a virtual card generally determines the amount available for eligible transactions, subject to applicable limits, fees, authorizations, holds, reversals, and restrictions.
Users are responsible for monitoring their available balance and ensuring that sufficient funds are available before attempting a transaction.
A transaction may be declined where the available balance, transaction limits, merchant restrictions, card restrictions, security controls, or other applicable requirements are not satisfied.
AyiFlow does not guarantee that every merchant or transaction will accept or process an AyiFlow virtual card.
6. Card Transactions
Virtual card transactions may be processed through third-party payment processors, card networks, financial institutions, or other authorized service providers.
When a transaction is authorized, the applicable amount may be deducted from the available card balance, subject to the processing characteristics of the transaction.
Certain transactions may initially appear as pending or authorized before being completed, reversed, adjusted, or settled.
The final transaction amount may differ from an initial authorization in circumstances permitted by the applicable payment network, merchant, processor, or card program.
7. Merchant Transactions
Virtual cards may be used only with merchants and for transaction types supported by the applicable card program.
Certain merchants, industries, countries, transaction types, or payment activities may be restricted or unavailable.
A merchant's acceptance of a virtual card does not constitute an endorsement, guarantee, or representation by AyiFlow regarding that merchant, its products, services, or conduct.
Users are responsible for reviewing merchant information and transaction details before completing a purchase.
8. Transaction History and Records
Where available, AyiFlow may provide Users with transaction information through the platform.
Users should regularly review their transaction history and promptly report transactions that appear unauthorized, incorrect, duplicated, or otherwise inconsistent with their activity.
Transaction records may be subject to processing delays, reconciliation adjustments, reversals, or updates received from payment providers.
9. Security and Fraud Prevention
AyiFlow may use security controls and transaction-monitoring measures designed to detect and prevent unauthorized use, fraud, abuse, or other suspicious activity.
These measures may include transaction monitoring, risk controls, authentication requirements, account restrictions, card restrictions, or additional verification.
Where suspicious or potentially unauthorized activity is detected, AyiFlow or an authorized service provider may temporarily restrict, freeze, suspend, or otherwise limit the affected card or account while the activity is reviewed.
These measures may be applied without prior notice where immediate action is reasonably necessary to protect the User, AyiFlow, its service providers, or the payment system.
10. User Security Responsibilities
Users are responsible for protecting their account credentials, authentication information, card information, and other security credentials.
Users must not:
share account passwords or authentication credentials with unauthorized persons;
knowingly provide access to their account to another person;
store card credentials insecurely;
allow unauthorized persons to use their virtual card;
attempt to bypass security or verification controls; or
use the service in a manner that could compromise the security of AyiFlow or another User.
Users should promptly notify AyiFlow if they believe that their account or card information has been compromised.
11. Unauthorized or Suspicious Transactions
Users should report unauthorized, fraudulent, duplicated, or otherwise disputed transactions to AyiFlow as soon as reasonably possible after becoming aware of them.
AyiFlow may request information or documentation reasonably necessary to investigate a reported transaction.
The investigation may involve AyiFlow and relevant third-party processors, card issuers, payment networks, financial institutions, or other authorized service providers.
The outcome of a transaction investigation may depend on the available evidence, applicable card-program rules, payment-network procedures, and information provided by relevant service providers.
12. Refunds
Refunds for purchases made with a virtual card are generally initiated by the applicable merchant.
Where a merchant agrees to issue a refund, the processing and posting of the refund may depend on the merchant, payment processor, card issuer, payment network, and other parties involved in the transaction.
AyiFlow does not guarantee the outcome or timing of a merchant-initiated refund when the process is controlled by a third party.
Users should retain relevant transaction and merchant documentation when requesting assistance with a refund.
13. Disputes and Transaction Claims
Users should first contact the merchant regarding ordinary product, service, delivery, cancellation, or merchant-performance disputes.
Where a transaction may involve unauthorized activity, fraud, duplication, or another issue that may qualify for a formal transaction dispute, the User should contact AyiFlow promptly and provide the information reasonably requested.
AyiFlow may submit eligible claims to the relevant payment provider, card issuer, payment network, or other responsible party for review.
The availability and outcome of a dispute process depend on the applicable rules and circumstances of the transaction.
Submitting a knowingly false, fraudulent, or abusive claim is prohibited and may result in account or card restrictions.
14. Card Freezing and Suspension
AyiFlow or its authorized service providers may temporarily freeze, restrict, suspend, or disable a virtual card or account where reasonably necessary, including in circumstances involving:
suspected fraud or unauthorized activity;
security concerns;
unusual or suspicious transactions;
identity or verification issues;
violation of the Terms of Service or this Policy;
legal or regulatory requirements;
requests from authorized service providers or financial partners; or
risks to the payment system or other Users.
Where permitted and appropriate, AyiFlow may provide information regarding the reason for a restriction and any steps required to restore access.
15. Account and Card Termination
A virtual card or related service may be terminated by the User or by AyiFlow in accordance with the Terms of Service and applicable requirements.
Before termination, Users should resolve outstanding transactions, disputes, fees, or other obligations associated with the account or card where reasonably possible.
Termination does not automatically cancel obligations or transactions that arose before termination.
16. Remaining Balance
Where a virtual card or account is closed with a remaining eligible balance, AyiFlow may process the return or settlement of such funds in accordance with applicable procedures, verification requirements, outstanding obligations, applicable fees, chargebacks, transaction adjustments, and the requirements of relevant service providers.
The method and timing of any balance return may depend on the original funding method and applicable payment-provider procedures.
AyiFlow may require additional verification before releasing remaining funds.
17. Third-Party Card and Payment Providers
AyiFlow may rely on third-party providers to provide card issuing, payment processing, identity verification, transaction processing, fraud prevention, hosting, or related services.
Such providers may impose additional terms, restrictions, verification requirements, transaction limits, or service conditions.
Where applicable, Users must comply with the requirements of those providers in addition to AyiFlow's Terms of Service and policies.
The availability of a virtual card feature may depend on the continued availability of the relevant third-party service.
18. Service Availability
AyiFlow aims to provide reliable virtual card services but does not guarantee uninterrupted or error-free availability.
Services may be temporarily unavailable or restricted due to:
scheduled or emergency maintenance;
technical failures;
third-party provider interruptions;
payment-network issues;
security incidents;
telecommunications or internet failures;
regulatory or legal requirements; or
circumstances beyond AyiFlow's reasonable control.
Where reasonably possible, AyiFlow may communicate material service interruptions or changes.
19. Prohibited Use
Users must not use a virtual card or AyiFlow account for unlawful, fraudulent, deceptive, abusive, or unauthorized activities.
Prohibited activities include attempting to circumvent security controls, using stolen or unauthorized payment information, conducting fraudulent transactions, impersonating another person, or using the service for activities prohibited by applicable law or by the relevant card or payment program.
AyiFlow may restrict or terminate services where prohibited activity is detected or reasonably suspected.
20. Compliance and Transaction Monitoring
AyiFlow may conduct account and transaction reviews for security, fraud prevention, compliance, risk management, and other legitimate purposes.
Additional information or documentation may be requested when necessary to complete a review.
AyiFlow may delay, restrict, reject, or suspend a transaction or service where reasonably necessary to comply with applicable requirements or to protect the platform, Users, payment partners, or financial systems.
21. Fees and Adjustments
Users are responsible for applicable fees disclosed by AyiFlow before or in connection with the relevant service.
Fees may include card-related charges, transaction-related charges, funding charges, or other applicable service fees.
Where a transaction is reversed, refunded, adjusted, or subject to a third-party charge, the corresponding balance may be adjusted accordingly.
22. Changes to Virtual Card Services
AyiFlow may modify, suspend, replace, or discontinue features of its virtual card services where reasonably necessary, including due to changes in technology, third-party providers, payment networks, security requirements, business operations, or applicable law.
Where required, Users will be notified of material changes in accordance with applicable requirements.
23. Limitation of Service Responsibility
AyiFlow facilitates access to virtual card services but may rely on third parties for card issuance, payment processing, transaction authorization, settlement, and related services.
Accordingly, certain transaction decisions, processing times, merchant acceptance decisions, refunds, reversals, and other card-related outcomes may be controlled by third parties.
Nothing in this Policy limits any rights or protections that cannot lawfully be excluded or limited under applicable law.
24. Relationship With the Terms of Service
This Policy forms part of the rules governing the use of AyiFlow virtual card services.
If a conflict exists between this Policy and the AyiFlow Terms of Service, the applicable provision of the Terms of Service will govern unless this Policy expressly states otherwise.
Additional terms imposed by an applicable card issuer, payment network, financial institution, or other service provider may also apply to specific services or transactions.
25. Governing Law and Dispute Resolution
This Policy shall be interpreted and applied in accordance with applicable laws and regulations governing the services provided by AyiFlow, without prejudice to any mandatory rights or remedies available to Users under applicable law.
Any dispute relating to this Policy or the virtual card services should first be addressed through good-faith communication with AyiFlow.
If a dispute cannot be resolved amicably, it may be submitted to the competent authority, court, arbitration body, or other dispute-resolution mechanism having jurisdiction under applicable law.
Nothing in this Policy prevents a User from exercising any mandatory rights or remedies available under applicable law.
